Terms for sports venues

These terms govern the EuroStelle Bookings service between Fala Noleggi SRL ("EuroStelle") and the sports venue that signs up ("the Venue"). They only apply between businesses: whoever signs up acts for their business. The Italian version prevails in case of doubt.
1. What EuroStelle does
- EuroStelle is an online intermediation service (Regulation (EU) 2019/1150): it shows the Venue's pitches, collects players' requests and sends them to the Venue, which decides whether to confirm them.
- The contract for the use of the pitch is always between the Venue and the player. EuroStelle runs no pitches of its own, collects no money from players and does not guarantee a minimum number of bookings.
2. Who can sign up
- Businesses, companies and sports associations with an active VAT number. The VAT number is checked automatically in the EU VIES database.
- Whoever fills in the form declares that they are the Venue's legal representative or are authorised to sign for it, and that the data entered is true.
- A sports venue can have only one owner account on EuroStelle. If your venue's page is already taken, write to us: we check who is entitled to it.
3. When the contract starts
The contract is concluded when the Venue submits the sign-up form accepting these terms and the VAT check succeeds. We immediately send a confirmation email with a summary.
4. The service
- Public page of the Venue with pitches, opening hours, prices and a calendar of free slots.
- Booking requests by email with "Confirm" and "Decline" buttons, and a dashboard to manage pitches, hours, contacts, blocked slots and bookings.
- If the Venue doesn't reply in time (30 minutes from 8 am to 10 pm, overnight until 9 am, and in any case by 15 minutes before the match), the player receives the Venue's phone number to arrange things directly.
- The service may stop for maintenance or failures. If, due to a problem on our side, a request doesn't reach the Venue, no fee is due for that match.
5. Price
- The first 6 months from the sign-up date are free.
- After that, the Venue pays €5.00 + VAT for each played booking. There are no fixed fees, set-up costs or minimum terms.
- A booking is "played" when the Venue confirmed it, the match has ended and the Venue did not mark it as "no-show" within 48 hours of the end. Declined, expired or cancelled requests (by anyone) are not charged.
- 30 days before the free months end we send a reminder email. If the Venue doesn't want to continue, it just closes bookings from the dashboard: it pays nothing.
6. Invoices and payment
- Every month we send an Italian e-invoice (via SdI) listing the bookings played in the previous month.
- Payment is due within 30 days of the invoice date, by bank transfer or the payment methods we indicate (e.g. card or SEPA direct debit).
- The Venue can dispute one or more bookings within 30 days of the invoice, saying which and why: we check them against the system data and correct if needed.
- Late payment interest under Italian Legislative Decree 231/2002 applies. If a delay exceeds 30 days after a reminder, we may suspend online bookings until payment (section 11).
7. The Venue's obligations
- Keep pitches, hours, prices and contacts true and up to date. The price shown is the final price for players, VAT included: no surcharges that weren't shown are asked at the pitch.
- Block from the dashboard the slots taken outside EuroStelle (phone, tournaments, maintenance), to avoid double bookings.
- Reply to requests and honour confirmed bookings. If it has to cancel, it does so from the dashboard as soon as possible: the player is notified immediately.
- Mark "no-show" only when it is true.
- Comply with the laws on the facility and the business: safety and permits, third-party liability insurance, health and tax rules (e.g. issuing a receipt to the player). Only the Venue is responsible for the service at the pitch.
- Not ask players who came through EuroStelle to cancel their booking and rebook outside the site in order to avoid the fee. The Venue remains free to sell its slots anywhere and at any price: this rule only keeps sustainable a service that has no fixed costs for the Venue.
8. EuroStelle's obligations
- Run the service with professional care and forward every request received to the Venue.
- Show the Venue's data as the Venue wrote it and never change its prices.
- Notify by email any change to the service or to these terms (section 13).
9. How venues are shown
On city pages venues appear in alphabetical order. Those accepting bookings carry the "Bookable online" label. Nobody can pay to appear before others. If we change these criteria, we will write it here before applying them.
10. Personal data
- For booking data (player's name, phone, day, time and notes) EuroStelle and the Venue are independent data controllers, each for its own purposes (Articles 4 and 24 GDPR).
- The Venue uses this data only to manage the booking and for legal obligations: no advertising or promotional messages without the player's consent.
- In the dashboard the Venue sees its bookings with the name and phone of whoever booked. EuroStelle uses booking data to run the service, for invoicing and, as aggregated numbers, to improve it; it never sells or shares it.
- If either party discovers a data breach (e.g. unauthorised access) affecting bookings, it informs the other without delay.

11. Duration, termination and suspension
- The contract has no fixed term.
- The Venue can stop at any time with the "Close bookings" button in the dashboard, without notice or penalties: this counts as termination. Bookings already confirmed must be honoured or cancelled notifying the players; fees for matches already played remain due. It can reopen whenever it wants, under the terms in force at that time.
- EuroStelle can terminate with at least 30 days' notice by email, giving the reason (Article 4 of Regulation (EU) 2019/1150).
- EuroStelle can immediately suspend the Venue's online bookings, giving the reason by email, if: the VAT number has ceased or the data is false; the Venue repeatedly fails to honour confirmed bookings or marks false no-shows; it doesn't pay within 30 days after a reminder; it seriously breaches the law or these terms. The Venue can reply and clarify: if the reason no longer applies, we reopen.
- In cases of fraud, false data or crimes the contract is terminated by law upon our notice (Article 1456 of the Italian Civil Code).
12. Liability
- EuroStelle is not a party to the contract between Venue and player and is not liable for no-shows, damage to people or property at the facility, players' failure to pay or disputes between them.
- Otherwise, EuroStelle's liability towards the Venue does not exceed the fees paid by the Venue in the last 12 months. This limit does not apply in case of wilful misconduct or gross negligence (Article 1229 of the Italian Civil Code) or for personal injury.
- The Venue holds EuroStelle harmless from third-party claims caused by false data, the running of the facility or breach of this contract.
13. Changes
We may change these terms for technical, legal or service reasons. Changes are sent by email at least 15 days before they apply; price changes at least 30 days before. If the Venue disagrees, it can close bookings before the changes apply, at no cost. Shorter notice only where required by law.
14. Complaints
For complaints or problems write to info@eurostelle.com (or to the certified email falanoleggi@pec.it). We reply within 15 working days. To resolve a dispute the parties may also jointly choose mediation before a body registered with the Italian Ministry of Justice.
15. Notices
Notices about the contract are sent to the owner's account email or the booking email. Formal notices can also be sent by certified email (PEC).
16. Law and jurisdiction
Italian law applies. The courts of Turin have exclusive jurisdiction over any dispute about this contract.
17. Specifically approved clauses
Under Articles 1341 and 1342 of the Italian Civil Code, when signing up the Venue specifically approves, with a separate tick box, these clauses: 6 (suspension for non-payment); 7, last point (no moving bookings off the site to avoid the fee); 11 (termination and suspension by EuroStelle, termination by law); 12 (limits of liability and indemnity); 13 (changes to the terms); 16 (exclusive jurisdiction of Turin).
